For purposes of these Terms, eStatim Inc., operating Compass Pro (“eStatim,” “Compass Pro,” “we,” “us,” or “our”), is the provider of the Website and Services. eStatim Inc. is located in Richmond Hill, Ontario, Canada.

“Service” refers to the Compass Pro Dental Practice Management Software and related websites accessible at https://compasspro.ca.

“Customer” means the organization that subscribes to or enters into an agreement to use Compass Pro.

“Practice” means a dental or orthodontic practice using Compass Pro.

“User” means an individual authorized by a Customer or Practice to access or use Compass Pro.

“Website” means compasspro.ca.

“Software” means the Compass Pro dental and orthodontic practice management software.

“Services” means the Software and related services provided by eStatim Inc.

“You” means the person or entity accessing the Website or Services, as applicable.

Acknowledgement

These Terms govern your access to and use of the Website and Services. By accessing or using the Website or Services, you agree to these Terms and acknowledge our Privacy and Cookie Policy.

Compass Pro is developed in Canada. Compass Pro environments and customer data for Canadian practices are hosted in Canada. Certain third-party integrations, service providers or external processors may operate under separate infrastructure and data-processing arrangements.

Compass Pro is designed to support dental and orthodontic practices in meeting applicable privacy and security obligations. Depending on the customer’s location and use of the Services, applicable requirements may include the Personal Information Protection and Electronic Documents Act (PIPEDA), the Personal Health Information Protection Act (PHIPA), the Health Insurance Portability and Accountability Act (HIPAA), and the General Data Protection Regulation (GDPR).

Compass Pro does not provide legal advice or guarantee that a customer’s use of the Services will satisfy every applicable legal or regulatory requirement. Compliance also depends on the customer’s configuration, policies, access controls, staff training and use of the Services.

eStatim Inc. uses administrative, technical and organizational safeguards intended to protect Compass Pro systems and customer information. No software or transmission method can be guaranteed to be uninterrupted, error-free or completely secure.

To the fullest extent permitted by applicable law, eStatim Inc. will not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to access to or use of the Services.

We may suspend or terminate access to the Services where permitted under an applicable agreement or by law, including in response to a material breach of these Terms, unlawful use, a security risk, non-payment or conduct that may harm the Services or other users.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory applicable law, the parties submit to the exclusive jurisdiction of the courts of Ontario located in Toronto, Ontario.

Compass Pro is Canadian-developed, cloud-based practice management software for dental and orthodontic practices.

Compass Pro is a Canadian-developed Dental Practice Management Software designed specifically for oral and dental care professionals.

The Service is built, hosted, and maintained in Canada in compliance with Canadian data protection laws and supports healthcare practices in Canada, the United States, and the European Union.

You represent that you are over 18 years old. If you do not agree with any part of these Terms, you may not access the Service.

Links to Other Websites

Our Service may contain links to third-party websites not owned or controlled by us.
We assume no responsibility for the content, policies, or practices of such websites.

Termination

We may suspend or terminate access to the Service immediately for any reason, including breach of these Terms.
Upon termination, your right to use the Service ceases immediately.

Limitation of Liability

To the fullest extent permitted by law, eStatim Inc. and Compass Pro shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Some jurisdictions do not allow the exclusion of certain warranties; in such cases, liability is limited to the maximum extent permitted by law.

“As Is” and “As Available” Disclaimer

The Service is provided “as is” and “as available.”
We do not warrant that the Service will be uninterrupted, error-free, or meet your specific expectations.
Compass Pro follows recognized security and privacy frameworks (SOC 2 and ISO 27001) to maintain high standards of reliability and data protection.

Compliance Support Statement

Compass Pro is developed and hosted in Canada under PIPEDA and PHIPA privacy standards.
The platform supports compliance with additional healthcare privacy regulations, including:

• HIPAA (U.S.), for U.S.-based practices managing Protected Health Information (PHI).
• GDPR (EU), for clinics processing data of EU residents.

Compass Pro assists healthcare and dental practices in meeting their legal obligations but does not provide or imply formal certification or legal determination of compliance.

Users are responsible for ensuring that their internal policies and practices align with applicable privacy regulations.

Governing Law

These Terms are governed by the laws of Canada, without regard to conflict of law principles.
Any disputes shall be resolved within the jurisdiction of the courts located in Toronto, Ontario.

Dispute Resolution

If you have a concern or dispute, you agree to contact us first at info@compasspro.ca to attempt informal resolution.

Canadian Legal Compliance

You confirm that:

• You are not located in a country subject to Canadian embargo restrictions.
• You are not listed on any Canadian government restricted parties list.

Changes to These Terms

We reserve the right to modify these Terms at any time.
Material changes will be communicated through our website at least 30 days before becoming effective.
